Terms & Conditions

Scope
These Terms & Conditions govern the sale of products by Vult Dynamics LLC ("Vult Dynamics," "we," "us," or "our") to any individual or organization ("Buyer") that purchases components directly from us by purchase order, or evaluates components through our discovery/evaluation program. Purchases made through an authorized retailer are governed by that retailer’s terms of sale, in addition to any Vult Dynamics warranty terms referenced below.
Pricing
All prices are quoted in U.S. dollars and exclude applicable taxes, duties, customs fees, and shipping unless otherwise stated in writing. Pricing provided in a quote is valid for the period stated in that quote and is subject to change thereafter.
Quotations & Acceptance of Orders
Quotations issued by Vult Dynamics are not offers and do not obligate us to sell at the quoted price or on the quoted terms. A binding order is formed only when Buyer submits a written purchase order referencing the applicable quote and Vult Dynamics provides written acceptance of that order.
Order Placement
Purchase orders should include the applicable part number(s) or configuration details, quantities, requested delivery date, billing and shipping information, and any applicable contract or program reference. These Terms & Conditions govern each order unless the parties have executed a separate written agreement expressly superseding them.
Order Changes & Cancellations
Accepted purchase orders are non-cancelable and non-returnable except as otherwise agreed in writing by Vult Dynamics or as provided under our Return Policy. Requests to change quantities, configurations, or delivery dates on an accepted order will be accommodated where reasonably possible, but are not guaranteed once production or procurement has begun.
Delivery & Title
Unless otherwise agreed in writing, delivery terms are Ex Works our Winston-Salem, North Carolina facility. Title and risk of loss transfer to Buyer upon our delivery of the product to the carrier, and Buyer is responsible for arranging and insuring shipment unless we have agreed otherwise.
Inspection & Acceptance
Buyer should inspect all shipments promptly upon receipt. Any claim for a shipping shortage or shipping damage should be reported to us promptly, and any claim of a manufacturing defect should be reported to us as soon as reasonably possible after discovery. Failure to provide timely notice may affect Buyer’s ability to obtain a remedy under this section.
Limited Warranty
Vult Dynamics products are warranted to be free from defects in materials and workmanship at the time of shipment, manufactured to the specifications published for that product. Our Return Policy describes how defect and return claims are handled by product category and is incorporated into these Terms & Conditions by reference. This warranty does not cover damage caused by misuse, unauthorized modification, improper installation, or use outside of published specifications.
Invoicing & Payment
Buyers without established credit terms are invoiced on a prepayment basis. Buyers with approved credit terms are invoiced according to the terms stated on their accepted quote or purchase order. Amounts not paid when due may be subject to a late payment charge, up to the maximum rate permitted by applicable law. All payments are due in U.S. dollars unless otherwise agreed in writing.
Export Control & Compliance
Buyer is responsible for complying with all applicable U.S. export control, sanctions, and import laws in connection with any purchase, resale, or use of Vult Dynamics products, including any applicable restrictions on export, re-export, or transfer to prohibited parties, destinations, or end uses. Buyer represents that it will not use or resell products in violation of applicable law.
Limitation of Liability
To the maximum extent permitted by law, Vult Dynamics’ liability arising out of any order is limited to the amount paid by Buyer for the affected product. In no event will Vult Dynamics be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.
Indemnification
Each party agrees to indemnify the other for claims, damages, and reasonable expenses arising from that party’s violation of applicable law or material breach of these Terms & Conditions.
Governing Law
These Terms & Conditions are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.
Changes to These Terms
We may revise these Terms & Conditions from time to time. The version in effect at the time an order is accepted governs that order. The "Last updated" date above reflects the most recent revision.
